  {"id":20273,"date":"2025-10-31T13:35:00","date_gmt":"2025-10-31T17:35:00","guid":{"rendered":"https:\/\/cpbao.ca\/?p=20273"},"modified":"2025-10-31T16:41:24","modified_gmt":"2025-10-31T20:41:24","slug":"governance-modernization-council-approves-significant-by-law-and-policy-changes-october-2025","status":"publish","type":"post","link":"https:\/\/cpbao.ca\/fr\/governance-modernization-council-approves-significant-by-law-and-policy-changes-october-2025\/","title":{"rendered":"Governance Modernization: Council Approves Significant By-law and Policy Changes"},"content":{"rendered":"\n<p>At its meeting on June 20, 2025, Council made a motion for the College to pursue governance modernization strategies, including: updating governance language; reducing Council size; moving towards more equal public and professional representation on Council; introducing more separation between Council and Committees; establishing a competency-based model for Council and Committees; and adopting a hybrid election\/appointment process for Council.<\/p>\n\n\n\n<p>At its September 26, 2025 meeting, Council approved important updates to the College\u2019s governance framework. These changes advance the College\u2019s governance modernization, which supports more effective, transparent, and accountable decision-making in the public interest.<\/p>\n\n\n\n<p><strong>What By-laws Have Been Amended?<br><\/strong>The following By-laws were updated as part of this governance modernization initiative:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>By-law 1 \u2013 Interpretation Provisions<\/strong><br>Introduces clear and consistent governance terminology that better reflects the College\u2019s role as a regulator.<\/li>\n\n\n\n<li><strong>By-law 5 \u2013 Selection of Committee Chairs and Members<\/strong><br>Clarifies the separation of roles between the Board and Committees and introduces a competency-based appointment framework.<\/li>\n\n\n\n<li><strong>By-law 19 \u2013 Committee Appointments and Disqualification<\/strong><br>Consolidates and formalizes appointment rules to support renewal and leadership development.<\/li>\n\n\n\n<li><strong>By-law 20 \u2013 Council Elections, Qualifications, and Terms of Office<\/strong><br>Reduces the size of Council and introduces a hybrid election\/appointment model so as to ensure a balanced set of competencies and perspectives on the Board.<\/li>\n\n\n\n<li><strong>By-law 21 \u2013 Committee Composition<\/strong><br>Updates Committee structures to better reflect the new separation between Board and Committees.<\/li>\n<\/ul>\n\n\n\n<p><strong>What College Policies Have Been Updated?<br><\/strong>To complement the by-law reforms, Council approved several policy changes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Policy II-9(i) reinstated<\/strong> to revive the Governance and Nominations Committee (formerly Nominations and Leadership Development Committee)<\/li>\n\n\n\n<li><strong>Policy II-1(i) updated<\/strong> to refine the Executive Committee\u2019s role in light of the GNC\u2019s oversight and nominations functions<\/li>\n\n\n\n<li><strong><em>New <\/em><\/strong><strong>Policy I-16 created<\/strong> to clearly outline the responsibilities and expectations of Board Directors<\/li>\n\n\n\n<li><strong><em>New<\/em><\/strong><strong> Policy I-17 created<\/strong> to define the roles of Committee Chairs and Vice-Chairs and support consistent leadership practices<\/li>\n<\/ul>\n\n\n\n<p><strong>Updating Governance Terminology<br><\/strong>The College is updating governance terminology across its By-laws and supporting documents to better align with modern regulatory language.<\/p>\n\n\n\n<p>Using terms that are widely understood in governance contexts strengthens clarity around the College\u2019s role as a regulator \u2014 not a professional association \u2014 and helps members, applicants, and the public better understand how governance decisions are made. The timeline below outlines anticipated key milestones:<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><strong>Date\/Period<\/strong><\/td><td><strong>Key Milestone<\/strong><\/td><\/tr><tr><td>December 2025<\/td><td>Board Elections application opens, election information released including competency profile and eligibility requirements<\/td><\/tr><tr><td>January 2026<\/td><td>Election application period<\/td><\/tr><tr><td><strong>February 2026<\/strong><\/td><td><strong>Governance and Nominations Committee reviews applications and confirms slate of candidates<\/strong><\/td><\/tr><tr><td><strong>March 2026<\/strong><\/td><td><strong>Province-wide voting for eligible registrants (elimination of district and title-based elections)<\/strong><\/td><\/tr><tr><td>April 2026<\/td><td>Announcement of successful candidates<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>Members\/registrants will be kept informed as implementation continues.
